Client Agreement Policy
By visiting webxial.com, interacting with a Representative of Webxial, contacting Webxial, and/or engaging Webxial for whatsoever services, you agree to the Client Agreement Policy below.
Unless otherwise specified, the following definitions apply in this Client Agreement Policy:
“Webxial” means Webxial, the Assignee or its or their subsidiaries, partners, affiliates, employees, directors, officers, agents, representatives and/or any third parties providing services for and/or behalf of Webxial or Assignee.
"Indemnified Parties" means Webxial, the Assignee or its or their subsidiaries, partners, affiliates, employees, directors, officers, agents, representatives and/or any third parties providing services for and/or behalf of Webxial or Assignee.
"Unassailable Parties" means Webxial, the Assignee or its or their subsidiaries, partners, affiliates, employees, directors, officers, agents, representatives and/or any third parties providing services for and/or behalf of Webxial or Assignee.
“Reasonable amount of time” means an undisclosed period of 7 to 410 working days.
“Full confirmation” means a letter sent through Postal Mail or Electronic Mail by Webxial’s Authorised Representative providing the full details of the Refund.
Representations and Warranties
1.1. You confirm that all information you provide to us is true, complete and accurate and that you have not misrepresented any information about yourself, your company or your business.
2.1. You agree to release, indemnify and hold harmless the Indemnified Parties from and against any costs (including reasonable legal fees), damages, claims, actions, expenses or liabilities arising out of or related to:
2.1.1. any wilful breach by you of the terms of this Agreement
2.1.2. any services provided or received by the indemnified parties; and/or
2.1.3. any dishonesty, fraud or fraudulent misrepresentation by you, indemnified parties, your affiliates or your employee.
Breach of Agreement
3.1. You agree that in the event of a breach or violation of this Agreement, you will be liable to compensate Webxial for all damages, including the following but not limited to; lost profits, loss of reputation and compensation to replace the lost business relationship(s).
3.2 You agree that in the event of a breach or violation of this Agreement, Webxial can seek compensation of up to S$160,000 (Hundred and Sixty Thousand Singapore Dollars).
3.3 You agree that you are in a comfortable financial position to make any required payments should a Breach of Agreement occur.
3.4 You agree that Webxial reserves the right to collect any owed amount in full or in instalments with additional compounding interest that arises directly or indirectly from a breach of this agreement.
3.5 You agree that Webxial reserves the right to terminate all services quoted without incurring any liability while doing so.
3.6 You agree that any refund policies offered by Webxial will be made null and void upon the Breach of this Agreement and/or Termination of Services (whichever comes first)
Non Derogatory Statements
4.1. You undertake not to directly or indirectly make, publish or otherwise communicate in any medium (including but not limited to over social media, text messaging platforms, in person, through electronic mail) any oral or written statement which is critical, adverse, negative, disparaging or derogatory, or which might be detrimental to the personal or business interests of the Unassailable Parties.
5.1 You agree that Webxial will be entitled to a reasonable amount of time to make the refund payments once provided full confirmation by both parties.
5.2 You agree that any and all refunds, and promises made by Webxial will be made null and void should full confirmation not be obtained within 7 days of approval from the Authorised Represitvie granting a refund.
5.3 You agree that Webxial has the right at its absolute discretion, and is under no obligation to provide any refunds. Webxial also can do so without giving any reason whatsoever. You also agree that this shall be done without any Webxial incurring any liability.
5.4 You waive the right and agree for Webxial to decide the payment terms for client refund payouts. Webxial may utilise instalment payments up-to a period of (999) months.
6.1 For the sake of a peaceful resolution, You agree to waive any claims you may have made to against Webxial and agree not to seek further claims against Webxial.
7.1 You agree that both Parties may mutually agree to terminate this Agreement, in which event the future relationship of the Parties shall be determined by the Parties.
Termination Exit Clause
8.1 You agree that Webxial shall be have the right to terminate services in the event of happening one or more of the following conditions:
- Unpaid Invoices and/or Purchases Orders
- Misrepresentation of facts by Client and/or their Company
8.2 You agree that shall this clause be exercised, you shall not be entitled to any refunds, and any guarantees, assurances or promises made by Webxial will be made null and void.
8.3 You agree to pay all due invoices to Webxial, with additional interest or late fees, at the point of termination.
8.4 You agree that in the case this Termination Exit Clause is exercised, it would be considered as a Breach of Agreement.
8.1 You agree that from time to time, Webxial may make changes to this Agreement. You also agree to any new clauses set out by Webxial even after the date of initial agreement to this agreement.
